Ben Witherall

Ben Witherall practices corporate law with a focus on equity and debt capital markets transactions and mergers and acquisitions, both internationally and in the U.K. He advises public and private companies, as well as private equity firms, on a range of corporate and commercial matters, including: acting for issuers, investors, and sponsors/underwriters on public and private securities offerings, IPOs, block trades, debt security issuances, and secondary fund-raisings; acting for companies on international and domestic mergers, acquisitions, disposals, restructurings, and joint ventures; and providing general advice to corporate clients on company and commercial matters.

Ben's past transactions involve advising: Deutsche Equities India, SBICAP Securities, and others on the US$731 million Offer for Sale of NTPC Limited by Government of India; Kotak Mahindra, JM Financial, and Keynote Capitals on the US$75 million IPO of S H Kelkar and Company; Citigroup Global Markets, Deutsche Equities India, and others on the US$1.4 billion Offer for Sale of Indian Oil Corporation shares by Government of India; Lodha Developers on its issuance of US$200 million 12% Senior Notes in a Regulation S offering; RRJ Capital and affiliates of Temasek Holdings and Seatown Holdings on their purchase of US$1 billion of Unsecured Convertible PIK Notes in Cheniere Energy; AIM listed Asian Plantations Limited on its US$173.5 million public takeover by FELDA Global Ventures; Eurasian Natural Resources Corporation PLC on its US$4.5 billion public takeover by Eurasian Resources Group; Quixant PLC on its US$46 million IPO on AIM; and LondonMetric Property PLC on numerous commercial property acquisitions and disposals.
