Ben Stulberg advises public and private clients on corporate and securities law matters, focusing on mergers and acquisitions, including representation of principals and financial advisors in public and private M&A transactions. He also advises clients on matters relating to corporate governance, takeover preparedness, and SEC compliance. In addition, Ben has substantial experience with deal-related disputes, in both pre-closing and post-closing litigation.

Ben has counseled clients on numerous transactions in various industries, particularly focusing on cross-border transactions. Representative transactions include: MPLX LP and Marathon Petroleum's $20 billion acquisition of MarkWest Energy Partners; Goodrich Corporation's $18.4 billion merger with United Technologies; Sherwin-Williams' $11.3 billion acquisition of Valspar; various transactions for Procter & Gamble, including the divestiture of its beauty brands to Coty for $12.5 billion and the divestitures of its Folgers coffee business and its consumer health care partnership with Teva Pharmaceuticals; the sale of Harry & David to; FirstMerit Corporation's acquisition of Citizens Republic; Zoran Corporation's merger with CSR plc; Tech Mahindra's investment in Satyam Computer Services; and the acquisition of Axsys Technologies by General Dynamics. Other companies with which he has worked on substantial matters include Chart Industries, Cooper Tire & Rubber, Diebold, Jefferies & Co., KeyBanc Capital Markets, OM Group, and Parker Hannifin. [1]
