Dennis D. Lamont

Dennis Lamont is a partner in the firm's New York office and is a member of the Corporate Finance Practice covering large-cap and middle-market private equity funds, their portfolio companies and other public and private companies. His practice spans the entire capital structure, with particular focus on acquisition finance, debt and equity capital markets, syndicated credit facilities and junior capital. In addition, Mr. Lamont is part of the firm’s Latin America Practice, representing investors and multi-national corporations in cross-border financing transactions in the region.

Mr. Lamont has extensive experience in public and private securities offerings and in commercial lending transactions. His experience in debt financing transactions includes:

  • High-yield debt
  • Convertible debt

  • Asset-based and cash-flow senior secured credit facilities

  • Second- and third-lien financings

  • Mezzanine financings

  • Holdco debt and other subordinated debt financings

  • Acquisition financing commitment letters

  • Bridge lending

  • Debtor-In-Possession and exit financings

His experience in equity transactions includes:

  • Secondary offerings and block trades

  • Rights offerings

  • Preferred stock

  • Financing matters related to out-of-court restructurings and bankruptcy proceedings

Mr. Lamont also has significant background in company representation. In addition to regularly representing firm clients in general corporate matters, he has worked in-house in a public company with global operations. That experience provided first-hand exposure to internal governance and compliance matters, as well as an appreciation for the practical issues facing general counsels of multi-national public companies.

In terms of international practice, Mr. Lamont has significant experience in cross-border transactions, particularly involving North America, South America and Europe. Mr. Lamont is fluent in English and Portuguese, has lived in Brazil, the Netherlands, Russia and the United States, and has spent significant time in the United Kingdom.
