Joel M. Williams

Joel Williams practices corporate law, with a focus on capital markets, corporate governance, and federal securities law. His practice includes representing public and private companies in a variety of transactions, including initial public offerings, shelf registrations, debt offerings, tender offers, exchange offers, and other securities transactions. He also regularly advises clients on corporate governance, securities laws, stock exchange rules and regulations, and periodic reporting responsibilities.

Prior to joining Jones Day in 2014, Joel represented: a specialty personal lines insurance company in 144A/Reg S private placements of common stock raising more than $420 million and two shelf registrations; a property and casualty insurance company in a $400 million 144A/Reg S private placement of common stock and a shelf registration; a thermal solutions provider in a $210 million private placement of high yield debt, a subsequent exchange offer, and its initial public offering; a commercial lines and title insurance company in its $400 million offering of senior notes; and a pharmacy benefit manager in a $540 million equity offering. He also represented a professional services firm in a $610 million acquisition and the health care division of a diversified infrastructure and financial services corporation in its successful $580 million cash tender offer for a NASDAQ-listed company. In addition, he has represented industrial, biotechnology, financial services, and energy clients in connection with stockholder proposals submitted under Rule 14a-8 of the Securities Exchange Act of 1934 and related requests for no-action relief from the Securities and Exchange Commission.
