Kimberly J. Pustulka

Kimberly Pustulka has a broad corporate background and practices in the areas of corporate finance, securities, and corporate governance. She has represented a number of issuers and underwriters on a wide variety of public and private corporate financing transactions, including 144A and public high yield and investment-grade debt offerings, equity offerings including initial public offerings, tender offers, exchange offers, debt restructurings, corporate reorganizations, and mergers and acquisition transactions.

Kimberly regularly counsels public companies on corporate governance issues and compliance with reporting obligations under the U.S. federal securities laws and stock exchange rules. She represents companies from a broad spectrum of industries, including manufacturing, real estate (REITs), energy, and telecommunications. Such companies represented recently include ConAgra Foods, Cooper Tire, DDR Corp., Emcore, Erico, Harsco, Marathon Petroleum, Molycorp, NACCO Industries, Parker Hannifin, Park-Ohio, PolyOne, R.H. Donnelley, Sprint Corporation, Steris, and The J.M. Smucker Company. She also has represented investment firms and financial institutions such as Jefferies & Company, JPMorgan, and KeyBanc Capital Markets in corporate finance transactions. [1]
