Michael J. Kuh
Michael Kuh is counsel in the New York office of Latham & Watkins.
Mr. Kuh focuses on sports law-related matters and representing emerging companies, as well as public and private company mergers and acquisitions, including representation of special committees, principals, private equity and leveraged buyout funds, and financial advisors.
Mr. Kuh has represented the United States Olympic Committee in connection with the 2024 Olympic bidding process. Previously, Mr. Kuh was counsel to NYC2012, New York City's bid committee for the 2012 Olympic Games. As the sole in-house attorney for NYC2012, Mr. Kuh handled government relations, was involved in constructing significant aspects of the bid, negotiated marketing rights agreements and managed a wide range of legal issues. Mr. Kuh also counseled Doha’s Olympic bid.
Mr. Kuh was lead outside counsel in the creation of the National Women’s Soccer League, the Division I women’s professional soccer league in the United States, featuring players from Canada, Mexico and the United States. Mr. Kuh was lead counsel representing the United States bid to host the 2022 FIFA World Cup™, advising the bid committee on all legal aspects of the bid, including commercial and sponsorship agreements, government guarantees, FIFA rules and the like. Mr. Kuh represents the organizing committee for the Copa America Centenario. Additionally, Mr. Kuh represents the United States Soccer Federation on a variety of ongoing matters. Mr. Kuh has also counseled a private equity firm regarding its investment in a European professional soccer team.
Mr. Kuh recently represented Chinese private equity firm, FountainVest Partners in its acquisition of Key Safety Systems, and represented the founder of CrossFit in his re-acquisition of his company. He also has represented a range of private equity firms, including Odyssey Investment Partners, Leonard Green & Partners, The Carlyle Group, Global Infrastructure Partners, One Equity Partners and Irving Place Capital Partners.
Additionally, Mr. Kuh represents emerging and growth-stage companies, including T+Ink, Inc. and Goop.com. Mr. Kuh also represents a range of public and private companies, including Booz Allen Hamilton Inc. in the separation of its US government and commercial businesses, the establishment of Booz & Company as an independent global management consulting business and the sale of a majority stake in the US government consulting business to The Carlyle Group for US$2.54 billion. He also represented Harrah’s Entertainment, Inc. in its US$27.8 billion sale to affiliates of Apollo Management and Texas Pacific Group. In addition, he represented FTD, Inc. in its acquisition of Interflora Holdings Limited and Kelso Partners in connection with its acquisition of RHI Entertainment as well as subsequent related transactions.
In addition to the transactions described above, Mr. Kuh represents banks such as Goldman Sachs, Morgan Stanley, Jefferies & Co., JP Morgan Partners, Bank of America Merrill Lynch and UBS in financial advisory matters. Mr. Kuh counseled investment banks in Dell’s privatization, valued at US$24.9 billion, and the merger of Applied Materials and Tokyo Electron, valued at US$29 billion.
Prior to joining Latham, Mr. Kuh worked in New York City Mayor Rudolph W. Giuliani's administration, focusing primarily on economic development work, but also on emergency management, privatization, labor union issues and city planning. Mr. Kuh also directed national field operations and outreach on behalf of the Children's Scholarship Fund, a US$200 million charity founded by Theodore J. Forstmann and John Walton.
In 2013, Governor Andrew M. Cuomo of New York appointed Mr. Kuh to the Board of Directors of the Hudson River Park, where he serves on the audit and strategic planning committees. From 1999 to 2003, Mr. Kuh was a member of the Board of Managers of Swarthmore College and is currently a member of the Alumni Council for the Collegiate School. He is also Vice Chairman of the Citizens Budget Commission.
