Nick Dhesi is an associate in the Houston office of Latham & Watkins. His practice focuses on corporate transactions, with an emphasis on private equity, M&A and capital markets transactions in the energy industry. He represents a collection of private equity sponsors in evaluating and executing portfolio investments throughout the energy, retail and technology industries, as well as a variety of public and private energy companies pursuing value-generating upstream and midstream M&A activity. In addition, Mr. Dhesi has led various registered and unregistered equity and debt capital markets transactions, representing a variety of investment banks and public and private companies. Mr. Dhesi's broad, significant capital markets experience includes advising corporations and master limited partnerships on matters related to securities laws, corporate governance and Exchange Act reporting compliance.
His experience includes:
- Mergers and acquisitions involving public and private targets
- Representing issuers and underwriters in IPOs, high yield and secured debt offerings and other securities offerings
- Representing private equity sponsors and portfolio companies in various transactions
- MLP and REIT transactions
- Corporate governance
Mr. Dhesi serves in a management capacity as a member of Latham’s Associates Committee, a position he has held since March 2015. Prior to that time, he served as a member of the Houston Recruiting Committee. Mr. Dhesi also served on the Editorial Board of the Texas Law Review, where he published “The Conman and the Sheriff: SEC Jurisdiction and the Role of Offshore Financial Centers in Modern Securities Fraud,” 88 Texas L. Rev. 1345 (2010) and led the organization’s fundraising and administrative initiatives.
