Peter C. Krupp focuses his practice on mergers and acquisitions, private equity, corporate and securities law. He represents public corporations, private companies and private equity firms, as well as investment banking clients on a wide variety of acquisition transactions, leveraged buyouts, private equity and venture capital transactions, spin-off transactions, corporate restructurings and recapitalizations, exchange offers, joint ventures and other financing transactions. Mr. Krupp also counsels clients on a broad range of corporate, securities and business-related matters, including directors’ duties and responsibilities and other aspects of corporate governance, disclosure issues, corporate compliance matters and internal investigations. This advice often is provided to boards, independent directors and special committees of directors where fiduciary duties are subject to particular scrutiny.
