Rachel Marie Burns is an associate in the Silicon Valley office of Latham & Watkins. She regularly represents emerging companies, venture capital firms, venture lenders and investment banks involved in the technology, life sciences and cleantech industries. She advises on general corporate matters, venture capital financings, venture lending transactions and public offerings. Ms. Burns' general company representation includes assistance with formation issues, employment matters, equity incentives, securities law compliance, negotiating license agreements and advising boards of directors regarding corporate governance matters.
Ms. Burns also has an active and successful pro bono practice. Her clients include:
- Not For Sale, an anti-human trafficking non-profit based in San Francisco: serving as the firm liaison
- Community Legal Services in East Palo Alto: advising with respect to the organization's housing, immigration and civil litigation programs
- Swords to Plowshares: providing legal advice to veterans
- Law Foundation of Silicon Valley: advising and representing clients on eviction matters
Ms. Burns received her JD from the University of California, Berkeley, School of Law where she served as the senior notes and comments editor for the California Law Review. While at law school, Ms. Burns served as an extern to the Honorable John T. Noonan of the United States Court of Appeals for the Ninth Circuit and received the American Jurisprudence Award in Civil Procedure.
Ms. Burns received concurrent degrees, summa cum laude, in Business Economics and Political Science from the University of California, Santa Barbara where she was a Regents’ Scholar.
