Rhys W. Phelps

Rhys Phelps practices corporate law with a focus on mergers and acquisitions and capital markets transactions. He advises private and public companies, as well as private equity firms, banks, and other financial institutions, on a range of corporate and commercial matters, including acting for companies on international and domestic mergers, acquisitions, and disposals; acting for issuers and sponsors/underwriters on IPOs and secondary fund-raisings; advising companies on hostile and recommended public takeover bids; and providing general advice to corporate clients on company and commercial matters.

Rhys's recent transactions involve advising: Eurasian Natural Resources Corporation PLC on its $1.25 billion acquisition of the DRC assets of First Quantum Minerals Ltd., its $300 million acquisition of Zambian copper and cobalt producer Chambishi Metals plc, and its $800 million acquisition of Kazakhstan-based coal production company Shubarkol Komir JSC; J.F. Lehman & Company on its $120 million acquisition of the Drew Marine business, a global leader in providing technical solutions, high-value products and services to the marine industry, from Ashland Inc.; Woodward, Inc. on its $365 million acquisition of HR Textron Inc.; Mineral Securities Limited on its A$242 million (US$218 million) acquisition by CopperCo Limited; and the shareholders of Passhold Limited, the holding company of brandRapport Limited, in the sale of brandRapport to Ingenious Media Active Capital.
