Robin C. Melman

Robin Melman advises clients (including public and private companies and boards of directors) on executive compensation and employee benefits aspects of various corporate transactions, including mergers, acquisitions, dispositions, spin-offs, initial public offerings, and private equity and leveraged buyouts.

Robin also provides ongoing advice to public and private companies, compensation committees, and executives with respect to day-to-day executive compensation and employee benefit matters, including executive compensation plan designs, employment contracts, and equity compensation plans, as well as advising on related securities, tax, and public disclosure issues. She drafts and negotiates employment agreements, retention programs, separation agreements, noncompetition agreements, and other compensation-related agreements and programs. Robin has extensive experience assisting clients with the drafting of relevant sections of proxy statements, periodic and current reports, and registration statements. [1]
