Samuel R. Weiner

Sam Weiner is a partner in the Los Angeles office of Latham & Watkins, the former Chair of the firm’s Transactional Tax Practice and Co-chair of the firm’s Asian Tax Practice. Mr. Weiner's practice focuses on federal and state taxation of corporations and partnerships in a variety of US and international contexts, including:

  • Advising clients on tax issues related to mergers, acquisitions, divestitures, financings, bankruptcy and insolvency restructurings, including debtor and creditor tax considerations, loss preservation and cancellation of debt issues, and financial products and services
  • Representing investment banks and funds, public and private companies, individual investors and non-US corporations on taxable and tax-free acquisitions and dispositions, reorganizations, joint ventures and spin-offs
  • Structuring and implementing leveraged buyouts, including US and non-US restructuring issues, financing expenditures, equity capital and debt expenses, consolidated group structuring, hostile takeover defense expenses, compensation issues, accounting and inventory adjustments

Mr. Weiner has:

  • Served as Chairman of the State Bar of California’s Corporate Tax Committee and Secretary/Treasurer of the Los Angeles County Bar Association’s Corporate Taxation Section
  • Lectured before the Tax Executives Institute, the University of Southern California Tax Institute (where he is a member of the Executive Committee), the New York University Institute on Federal Taxation, the Practicing Law Institute, the Chicago-Kent College of Law Federal Tax Institute and the UCLA Law Center for the Study of Mergers and Acquisitions
  • Written articles for Major Tax Planning, the New York University Institute on Federal Taxation, the Practicing Law Institute and Turnarounds & Workouts
