Scott Herlihy is a partner in the Corporate Department of Latham & Watkins’ Washington, D.C. office. His practice centers on public and private securities offerings, mergers and acquisitions, and general corporate governance and securities matters for public and private companies.

Mr. Herlihy regularly represents issuers in registered public offerings and private placements (including under Rule 144A) of common stock, preferred securities and debt securities.
Mr. Herlihy has been recognized by The Legal 500 US, Chambers Global and Chambers USA as a national leader in Capital Markets work and has been recognized in the 2011-2014 editions of The International Who’s Who of Capital Markets Lawyers. Chambers USA 2014 cited specifically his “excellent SEC expertise and broad capital markets knowledge.”
Mr. Herlihy is an adjunct professor at Georgetown Law and frequently lectures on corporate governance and compliance by public companies with the federal securities laws. He is co-author of “Structuring and Implementing Spin-Offs,” The Corporate Analyst (August 1996). Prior to joining Latham, Mr. Herlihy, a certified public accountant, was a litigation consultant and gained extensive experience investigating financial fraud.
