Thomas E. Dutton

For more than 30 years, Tom Dutton has helped hospitals, health systems, insurance companies, and large physician groups design and successfully implement cutting-edge integration and delivery strategies. He has handled dozens of specialty/primary care physician practice acquisitions and developed regulatory-compliant physician employment compensation models, has created dozens of provider-based clinics and co-management arrangements, has advised clients regarding the development of accountable care organizations and the use of ACO waivers, and has implemented every type of physician-hospital joint venture (including ASC, diagnostic imaging, cancer center, and hospital syndications). Tom has led deal teams in dozens of hospital, HMO, and insurance company mergers and acquisitions, state-wide/multi-state health system collaboratives, innovative hospital and service line revenue mergers, and distressed company transactions.

Representative matters include: counseling Yale New Haven Health regarding its acquisition of PriMed, a 120 physician/ACP group practice; advising UPMC regarding the development of its provider-based oncology clinics; representing ProMedica Health System regarding its acquisition and employment of the leading cardiology practice in NW Ohio; counseling Bon Secours Health System regarding the joint venture of its Charity Health System operations with Westchester Medical Center; developing numerous cardiovascular, orthopedic, oncology, and other service line co-management arrangements for UnityPoint Health facilities throughout Iowa and Illinois; and representing the Creditors Committee of AHERF in the sale through bankruptcy of its hospital operations in Philadelphia and Pittsburgh.
