Thomas Stoll

Thomas Stoll advises predominantly listed companies on all areas of corporate and capital markets law. His practice is focused on equity capital raisings, public takeovers, annual general meetings, corporate litigation, and corporate governance issues, including providing advice to management and supervisory boards on their legal affairs. He also has broad experience in private M&A transactions and management remuneration issues.

Prior to joining Jones Day, Thomas worked for several years in leading international law firms, where he advised on various public takeovers and the subsequent integrations, including domination agreements and squeeze-outs. During that period, he advised, among others, M.M.Warburg & CO KGaA on the rights issue and the debt-equity-swap of Conergy AG that included total proceeds of €183.3 million, Sonderfonds Finanzmarktstabilisierung (SoFFin) on the placement of contingent mandatory exchangeable notes (CoMEN) issued by Commerzbank AG (€5.7 billion) and the rights issue of Commerzbank (€5.3 billion) for the purpose of reducing the silent participations, the shareholders on the US$130 million sale of SensorDynamics to Maxim Integrated Products, and on the sale of an automotive supplier to a private equity investor.
